Welcome to Kizuna Solutions Inc. ("Kizuna," "we," "us," or "our"). These Website Terms of Use (the "Terms") govern your access to and use of our public websites, including www.kizuna.solutions and any pages that link to these Terms (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Important: These Terms apply to the public Site only. Kizuna’s subscription platform, application programming interfaces (APIs), and paid services (collectively, the Platform) are provided under separate written agreements (e.g., Master Services Agreement, Order, API Terms, and applicable addenda). If you have a Platform login, your use of the Platform is governed by those separate terms—not these Terms.



1. Who We Are; How the Site Relates to Regulated Uses

Kizuna provides decision-support technology that interprets and helps users operationalize background check data and related inputs. Depending on customer configuration and integration details, some Platform features may be used in connection with activities regulated by the U.S. Fair Credit Reporting Act (FCRA) and analogous state laws, as well as data protection and consumer protection laws.

The Site itself is informational and marketing in nature and does not deliver consumer reports or make employment, housing, credit, or other eligibility determinations. Any use of data or services can occur only within the Platform under separate written terms, with appropriate certifications and credentials from you and/or your designated consumer reporting agency (CRA) or data partner.

Nothing on the Site should be treated as a notice from a CRA or a notice of furnishing information about a specific individual. If you have questions about a background report or need to dispute information in a report, see Section 12 below.


2. Acceptance and Authority

By using the Site, you represent that you are at least 18 years of age and that you have the authority to accept these Terms on your own behalf or on behalf of the entity you represent. If you access the Site on behalf of an organization, you bind that organization to these Terms.


3. Changes to the Site and These Terms

We may update the Site and these Terms from time to time. If we make material changes, we will update the "Effective Date" above and may provide additional notice (e.g., banner or email) where appropriate. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms.


4. Accounts; Demo Requests; Contact Forms

You may browse most of the Site without an account. If you submit a book-a-demo or contact us request or create any Site-level account (if enabled), you agree to provide accurate information and to keep it up-to-date. You are responsible for maintaining the confidentiality of any credentials and for all activities under your account. Site-level access does not grant you Platform access. Platform access requires separate credentials, onboarding, and agreements.


5. Permitted and Prohibited Uses

You may use the Site only for lawful, personal or internal business purposes and in accordance with these Terms. You agree not to:


-Use the Site to make eligibility determinations (employment, insurance, housing, credit, or similar) or to take adverse action against any individual.


-Upload, post, or transmit personal data about any individual to Site forms except where expressly requested by us (e.g., demo scheduling contact details).


-Attempt to access the Platform, Kizuna systems, or non-public areas of the Site without authorization.


-Copy, scrape, crawl, spider, cache, or otherwise collect Site content or data (including via automated tools) except as permitted by robots.txt or with our prior written consent.


-Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any portion of the Site.


-Use the Site to send spam, interfere with security or integrity, or engage in fraudulent, deceptive, infringing, or illegal activity.

We may suspend or block access to the Site for any violation of these Terms or if we believe it is reasonably necessary to protect the Site, users, or third parties.

6. Informational Guidance; No Individualized Decisioning

We may provide educational content, general best practices, and guidance on topics such as hiring compliance, background check workflows, and product usage. Importantly, we do not provide individualized hiring or eligibility decisions through the Site, and you remain solely responsible for your employment and compliance decisions. The Site does not provide legal advice, and any information provided is for informational purposes only.

7. Intellectual Property; Feedback

All content on the Site and all associated intellectual property rights are owned by Kizuna or our licensors and are protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes.

If you submit ideas, suggestions, or feedback, you grant Kizuna a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and exploit that feedback without restriction.


8. Third-Party Services, External Links, and Research References

Our Site may include links or integrations with third‑party services (e.g., scheduling, forms, analytics) and may reference independent research, academic articles, or public reports. Those third parties are governed by their own terms and privacy policies. Links or references are provided for context and convenience only. Unless we say otherwise in writing, they do not indicate our endorsement, partnership, affiliation, certification, or that our products implement or rely on any particular study, dataset, or methodology. Third‑party names and marks belong to their respective owners. When you follow a link or use a third‑party component, you do so at your own risk and their terms and privacy policies apply.

9. Trials, Previews, and “Labs” Content (if any)

Any Site-accessible demonstrations, previews, or experimental features ("Labs") are provided AS IS for evaluation only, may change or be discontinued at any time, and are not subject to service levels or support. You must not rely on Labs for production decisions. Our aggregate liability for Labs is limited as set out in Section 11 below.


10. Warranties and Disclaimers

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIZUNA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SITE IS ERROR-FREE, COMPLETE, OR SECURE, OR THAT IT WILL OPERATE WITHOUT INTERRUPTION.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL KIZUNA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

KIZUNA’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL BE $0, EXCEPT THAT WE WILL BE RESPONSIBLE FOR YOUR DOCUMENTED, REASONABLE, AND ACTUALLY INCURRED OUT‑OF‑POCKET LOSSES DIRECTLY CAUSED BY THE SITE OR OUR BREACH OF THESE TERMS, CAPPED AT $100 IN THE AGGREGATE. TO THE EXTENT THIS LIMITATION IS NOT PERMITTED BY APPLICABLE LAW, IT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED. NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY LAW. THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND FORM AN ESSENTIAL BASIS OF THE BARGAIN.

DIFFERENT OR HIGHER LIMITS (IF ANY) MAY APPLY UNDER YOUR SEPARATE PLATFORM OR ENTERPRISE AGREEMENT WITH US.


12. Questions About Background Checks or Consumer Reports

Kizuna is not the CRA for reports prepared and/or delivered by your CRA or data partners. If you have questions about, or wish to dispute the accuracy of, information in a background report, contact the CRA who produced your report directly following the instructions provided with the report. If you are unsure who your CRA is, contact us at support@kizuna.solutions and we will help route your inquiry.

Nothing in this Section limits any rights you may have under applicable law (e.g., FCRA, state analogs), which may require that disputes be submitted to the CRA that prepared the report.

13. Dispute Resolution; Governing Law; Venue

-Binding Arbitration & Class Waiver. You and Kizuna agree that any dispute, claim, or controversy arising out of or relating to the Site or these Terms (collectively, Disputes) will be resolved by binding arbitration on an individual basis, and not in a class, representative, or consolidated proceeding. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this Section.

-Arbitration Rules and Forum. Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules (AAA Consumer Arbitration Rules for individuals and AAA Commercial Arbitration Rules for organizations), as modified by this Section. The arbitration will be conducted in San Francisco, California, or remotely by video conference if the arbitrator permits.

-Small-Claims & Injunctive Relief. Either party may bring a claim in small-claims court of competent jurisdiction. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its confidential information or intellectual property pending arbitration.

-Public Injunctive Relief (California). To the extent required by law, nothing in this Section limits the ability of a party to seek public injunctive relief in court.

-Opt-Out. You may opt out of arbitration by sending written notice to legal@kizuna.solutions within 30 days of first accepting these Terms. Your opt-out will not affect your other obligations under these Terms. You may also mail your opt-out to the Notices address.

-Governing Law and Venue. These Terms are governed by the laws of the State of Delaware, without regard to its conflicts of laws rules, and by applicable U.S. federal law (including the FAA). Except as otherwise provided above, the state and federal courts located in San Francisco County, California will have exclusive jurisdiction for any non-arbitrable claims, and you consent to their personal jurisdiction.

-Corporate Law Carve-Out. These Terms do not alter or supersede Kizuna’s internal corporate forum-selection provisions. Claims that by law must be brought in the Delaware Court of Chancery or other specified Delaware courts remain subject to those requirements.

14. Export; Sanctions

You may not access or use the Site in violation of U.S. export control and sanctions laws or if you are located in, or are a national of, any country embargoed by the United States or are on any U.S. government restricted party list.


15. Termination

We may discontinue or suspend the Site or your access at any time, with or without notice. Upon termination, Sections intended to survive (including Sections 6, 7, 10–13, and 16) will continue in effect.


16. Miscellaneous

-Entire Agreement. These Terms constitute the entire agreement between you and Kizuna regarding the Site.

-Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms, in whole or in part, without restriction (including in connection with a merger, acquisition, corporate reorganization, or sale of assets).

-Severability; Waiver. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our rights.

-Notices. Legal notices to Kizuna must be sent to legal@kizuna.solutions and to:

-DMCA Agent. If you believe content on the Site infringes your copyrights, please send a notice to legal@kizuna.solutions and the mailing address above with the information required by 17 U.S.C. § 512(c)(3).
